Laurence H. Smith has an extensive private practice representing venture capitalists, real estate developers, corporations and individuals with respect to land acquisition, construction and development of commercial and residential properties, mergers and acquisitions, corporate financing, corporate structuring, entity formation, financial institutions and hospitality entities with an emphasis on Hotel and Timeshare acquisition development and operations. He has held General Counsel and Directorship positions with both public and private corporations. He has represented clients before lenders, negotiating all types of borrower relationships, has served as President, Director and General Partner of a retail organization, a software development company and several Internet start-ups. Mr. Smith also served as General Counsel to a public corporation, was a member of its Executive Committee and responsible for a wide variety of functions. The functions, included negotiation of mergers and acquisitions, drafting and negotiation of contracts, drafting of agreements with respect to plant and building development, coordination with State and Federal governmental agencies, negotiating and closing of bank lines, supervision of all litigation matters, supervision of outside counsel and representation before the Internal Revenue Service.
